Governs your use of LuvionBio.com and your purchase of products. By using the Site you agree to these terms.

1.1 Acceptance of Terms

By accessing, browsing, or purchasing from this website (the “Site”), you agree to be bound by these Terms of Service (“Terms”), forming a binding legal agreement between you and LuvionBio LLC. If you do not agree, you must not use the Site or purchase our products. You affirm that you are at least 21 years of age, legally capable of entering into binding contracts, and using this Site in compliance with all applicable local, state, and federal laws.

1.2 Research Use Only

All products sold by LuvionBio LLC are intended exclusively for in-vitro laboratory research purposes. They are not intended for human or animal consumption, medical, diagnostic, therapeutic, or any commercial application. See Section 6 for the full Research Use Policy.

1.3 No Medical or Therapeutic Claims

Our products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any medical or therapeutic use. LuvionBio LLC makes no claims regarding the diagnosis, cure, mitigation, treatment, or prevention of any disease or condition.

1.4 Product Quality and Assumption of Risk

All products are sold as-is, without express or implied warranties, including warranties of merchantability or fitness for a particular purpose. By purchasing, you acknowledge the inherent risks of handling, storing, and using research chemicals; your obligation to evaluate and manage all associated hazards; and your responsibility to ensure appropriate safety practices, storage conditions, and lawful disposal in accordance with all applicable laws and institutional standards.

1.5 Order Acceptance and Pricing

We reserve the right to refuse, cancel, or limit any order at our sole discretion. Pricing, descriptions, and availability may change without notice. An order confirmation does not constitute acceptance — acceptance occurs upon shipment.

1.6 Restricted Resale

You are prohibited from reselling, redistributing, relabeling, repackaging, or incorporating any products into other goods or services without our express prior written consent. This does not apply to authorized wholesale partners operating under a current, signed Wholesale Agreement. Unauthorized resale constitutes a material breach and may result in account termination, legal action, and claims for damages and legal costs.

1.7 Toxic Substances Compliance

You agree to ensure full compliance with the Toxic Substances Control Act (TSCA) and all applicable federal, state, and local regulations governing the substances you purchase.

1.8 Indemnification

You agree to indemnify, defend, and hold harmless LuvionBio LLC and its owners, officers, directors, employees, and agents from any claims, liabilities, losses, expenses, or demands (including reasonable legal fees) arising from your use or misuse of any products, breach of these Terms, violation of applicable law, or any unauthorized third-party use of the products. This obligation survives termination of these Terms.

1.9 Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Any legal proceeding shall be brought exclusively in the state or federal courts of Delaware, and you consent to the personal jurisdiction of such courts. LuvionBio LLC reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction.

1.10 Force Majeure

LuvionBio LLC is not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, war, labor shortages, transportation failures, or public health emergencies.

1.11 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Shipping Policy, Returns Policy, Research Use Policy, and any additional posted policies, constitute the entire agreement between you and LuvionBio LLC regarding your use of the Site and purchase of products.

1.12 Modifications

We reserve the right to update these Terms at any time. Changes will be posted with an updated effective date. Continued use of the Site after changes constitutes acceptance of the revised Terms.

2. Privacy Policy

2.1 Information We Collect

Contact and order information: name, email address, and shipping address — collected solely for order processing and fulfillment. Payment information: all transactions are processed securely through third-party providers; LuvionBio LLC does not store full credit card or payment account information, and all payment data is handled in compliance with PCI-DSS standards. Browsing data and cookies: we use cookies and similar technologies to enhance functionality and analyze usage (see Section 3).

2.2 How We Use Your Information

To process and fulfill orders, communicate order updates and respond to inquiries, analyze site performance and improve our services, and comply with applicable legal obligations.

2.3 Data Sharing

We share limited customer data with third-party service providers strictly for operational purposes (payment processing, order fulfillment, shipping logistics, and site analytics). We do not sell, rent, or share your personal data with third parties for advertising or any purpose unrelated to order fulfillment and site operations.

California residents (CCPA/CPRA) have the right to know what is collected, to deletion, and to opt out of sale — LuvionBio LLC does not sell personal information. This website is intended for users within the United States. International visitors are subject to this Privacy Policy, and any data collected may be processed and stored in the United States.

4. Shipping Policy

Covers shipping carriers, delivery timeframes, regions, and lost-shipment procedures.

4.1 Shipping Methods & Regions

We ship via USPS and FedEx, with options and rates presented at checkout. We currently ship to addresses within the United States only, and do not ship to P.O. Boxes, APO/FPO addresses, or international destinations unless explicitly stated.

4.2 Processing & Delivery Time

Orders are processed within 1–2 business days, excluding weekends and federal holidays (extended during high-volume periods). Estimated delivery is 1–5 business days after shipment depending on method and location. Carrier estimates are not guaranteed.

4.3 Shipping Costs

Shipping fees are calculated at checkout based on order weight, destination, and selected service level.

4.4 Lost, Damaged, or Delayed Shipments

LuvionBio LLC is not liable for shipments lost, damaged, or delayed once transferred to the carrier. If your package appears lost or arrives damaged, contact compliance@LuvionBio.com within 72 hours of the expected delivery date with your order number and supporting documentation.

4.5 Undeliverable Packages

If a package is returned as undeliverable due to an incorrect address provided at checkout, the customer is responsible for any applicable re-shipping costs.

5. Returns & Refunds

All sales are final. We do not accept physical returns. Quality issues are reviewed case-by-case toward a reasonable resolution.

5.1 All Sales Final — No Physical Returns

Due to the sensitive, regulated, and perishable nature of our research compounds, all sales are final and we do not accept the return of any product under any circumstances. This protects the integrity of our quality and compliance infrastructure and the safety of all parties handling these materials.

5.2 Quality Issue Review

If a product arrives in a condition that does not meet the standard described at purchase — including damage, defect, or compromise during transit — we will review the matter case-by-case within a 30-day window from delivery. Verified quality concerns may be resolved with store credit, replacement, or a partial or full refund at our discretion.

5.3 How to Report an Issue

Contact compliance@LuvionBio.com within 72 hours of delivery with your order number, a clear description of the issue, and supporting documentation such as photographs of the product and packaging. Claims submitted outside the 72-hour window may not be eligible for review.

5.4 Disposal of Research Materials

All purchasers are solely responsible for the safe and lawful disposal of research materials in accordance with applicable local, state, and institutional regulations.

6. Research Use & Product Policy

All products carry an FDA Research Use Only (RUO) designation. Human or animal use is strictly prohibited.

6.1 Research Use Only (RUO) Designation

All products sold by LuvionBio LLC carry a Research Use Only (RUO) designation in accordance with FDA guidelines. They are intended exclusively for in-vitro laboratory research conducted by qualified professionals within properly licensed institutional settings, and are not approved for diagnostics, therapeutics, food production, dietary supplements, or any clinical application.

6.2 Permitted Uses

In-vitro laboratory research; academic or scientific experimentation by qualified researchers; research within properly licensed institutional or biotech settings.

6.3 Prohibited Uses

Human or animal consumption in any form; medical, diagnostic, or therapeutic applications; clinical trials or Investigational New Drug (IND) studies; household, cosmetic, or recreational use; production of food, drugs, beverages, or dietary supplements; resale, redistribution, repackaging, or relabeling without prior written authorization; and any use that violates applicable law.

6.4 No FDA Approval

Our products have not been evaluated or approved by the FDA for medical or therapeutic use. No claims are made regarding the diagnosis, cure, mitigation, treatment, or prevention of any disease.

6.5 Purchaser Responsibility

The purchaser assumes full responsibility for the safe handling, proper storage, and lawful use of all products. Misuse — including any form of human exposure — may result in serious harm, legal liability, and regulatory consequences. LuvionBio LLC makes no warranties regarding the outcomes of any research conducted using its products.

7. Purchase Waiver & Assumption of Risk

By completing a purchase you confirm understanding of product risks and release LuvionBio LLC from liability for misuse.

7.1 Acknowledgment

By completing a purchase on LuvionBio.com, you confirm that you have read and agree to these Terms in their entirety; that all products are purchased for research use only, consistent with FDA RUO guidelines; and that products will not be used for, nor administered to, humans or animals in any form.

7.2 Assumption of Risk

You acknowledge that misuse of research compounds — including human consumption, unapproved administration, or improper handling — may result in serious physical harm, legal liability, and regulatory consequences. You voluntarily assume all risks associated with the purchase, handling, storage, and use of these products.

7.3 Liability Waiver

To the fullest extent permitted by law, you release and hold harmless LuvionBio LLC, its officers, directors, employees, and agents from any liability, claims, damages, injuries, or losses resulting from your use or misuse of any product.

7.4 Agreement at Checkout

By checking the acknowledgment box at checkout, you confirm that you have read, understood, and agreed to this Waiver and to all applicable Terms of Service.

8. Limitation of Liability

Effective June 1, 2025

Caps LuvionBio LLC’s legal liability to the value of the product purchased. Indirect or consequential damages are excluded.

8.1 Exclusion of Consequential Damages

To the fullest extent permitted by law, LuvionBio LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use or misuse of the Site or any products, including loss of profits or revenue, loss of data, business interruption, or loss of goodwill — even if advised of the possibility of such damages.

8.2 Liability Cap

LuvionBio LLC’s total cumulative liability for any claim arising from these Terms or from your purchase shall not exceed the total amount you paid for the specific product(s) at issue.

9. Intellectual Property

Effective June 1, 2025

All content on this Site — including text, images, graphics, logos, trademarks, product names, and site design — is the intellectual property of LuvionBio LLC or its licensors and is protected under U.S. copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, display, or create derivative works from any content without the express prior written consent of LuvionBio LLC.
