LuvionBio Policies, Terms, and Research Use Agreement

1.1 Acceptance of Terms

These Terms of Service, together with all policies referenced or posted on the Site, form a binding legal agreement between you, the person or entity accessing the Site, creating an account, submitting information, placing an order, or purchasing products (“User,” “Customer,” “Buyer,” or “you”), and LuvionBio LLC (“LuvionBio,” “Company,” “we,” “us,” or “our”).

By accessing, browsing, registering for, using, or purchasing from luvionbio.com, research.luvionbio.com, or any related LuvionBio website, page, checkout, account portal, communication channel, or service (collectively, the “Site”), you agree to be bound by these Terms. If you do not agree, you must not access the Site, create an account, submit information, opt into communications, place an order, or purchase any product.

1.2 Eligibility and Authority

You represent, warrant, and covenant that:

• You are at least 21 years of age.
• You are legally capable of entering into binding contracts.
• You are not barred from using the Site or purchasing products under applicable law.
• You are using the Site and purchasing products solely for lawful research-use-only purposes.
• If you are purchasing on behalf of a business, laboratory, institution, organization, or other entity, you are authorized to bind that entity to these Terms.
• All information you provide to LuvionBio is accurate, complete, current, and not misleading.

LuvionBio may require account approval, age verification, identity verification, research-use acknowledgment, compliance attestation, business verification, or additional documentation before accepting an account or order. LuvionBio may refuse, suspend, cancel, or terminate any account or order in its sole discretion.

1.3 Research Use Only

All products and materials sold or provided by LuvionBio are offered strictly for research use only. Products are not intended for human or animal consumption, human or animal administration, diagnostic use, therapeutic use, clinical use, compounding, dietary supplement use, food use, cosmetic use, recreational use, or any use that would cause the product or material to be treated as a drug, biologic, medical device, food, cosmetic, dietary supplement, controlled substance, or other regulated end-use product unless expressly authorized by applicable law and expressly agreed to in writing by LuvionBio.

1.4 No Medical, Diagnostic, Therapeutic, Dosing, or Human-Use Guidance

LuvionBio does not provide medical advice, diagnosis, treatment recommendations, dosing instructions, administration instructions, human-use guidance, animal-use guidance, patient guidance, therapeutic protocols, prescription-drug claims, or disease-related claims through the Site, SMS, email, customer support, product descriptions, marketing materials, order materials, testing documents, or any other communication channel.

No information provided by LuvionBio should be interpreted as a recommendation, instruction, or authorization to use any product in humans or animals. Any customer request for medical, therapeutic, dosing, administration, human-use, animal-use, or patient-related guidance may result in refusal of service, account suspension, order cancellation, or termination of the customer relationship.

1.5 Product Information, Testing Documentation, and Catalog Content

Product descriptions, catalog pages, labels, testing documentation, third-party testing references, certificates of analysis, analytical data, purity statements, batch or lot information, handling suggestions, storage information, and similar materials are provided for research, quality-control, inventory, and commercial information purposes only. They are not medical, diagnostic, therapeutic, regulatory, safety, or suitability advice.

Testing documentation reflects the specific sample, method, lab, and date identified in the documentation. Unless expressly stated in a signed writing by LuvionBio, testing documentation does not constitute a warranty that any product is suitable for a particular purpose, sterile, endotoxin-free, contaminant-free, pharmaceutical grade, GMP-grade, clinical-grade, injectable, ingestible, or approved for any regulated end use.

1.6 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You must notify LuvionBio promptly of any unauthorized access or suspected misuse. LuvionBio is not responsible for losses arising from your failure to maintain account security.

1.7 Order Acceptance, Rejection, Cancellation, and Availability

All orders are subject to review and acceptance by LuvionBio. Receipt of an order confirmation, checkout confirmation, payment authorization, or automated email does not constitute final acceptance. LuvionBio may refuse, cancel, limit, hold, delay, or request additional verification for any order at any time and for any lawful reason, including suspected fraud, compliance concerns, product unavailability, pricing or listing errors, shipping restrictions, payment issues, suspected misuse, or violation of these Terms.

Product availability, pricing, descriptions, specifications, packaging, and estimated shipping dates may change without notice. LuvionBio reserves the right to correct errors, inaccuracies, omissions, and outdated information at any time.

1.8 Payment Authorization and Chargebacks

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize LuvionBio and its payment processors to charge all amounts due, including product price, shipping, taxes, and other applicable fees.

You agree to contact LuvionBio first to resolve any order issue before initiating a chargeback or payment dispute. LuvionBio reserves the right to suspend or terminate accounts associated with fraudulent, abusive, or bad-faith chargebacks, payment disputes, or payment reversals.

1.9 Restricted Resale, Redistribution, Repackaging, and Relabeling

You may not resell, redistribute, relabel, repackage, subdivide, combine, compound, reformulate, advertise, market, or incorporate any LuvionBio product into another product, service, kit, formulation, or offering without LuvionBio’s express prior written consent. This restriction does not apply to authorized wholesale partners operating under a current written agreement signed by LuvionBio.

Unauthorized resale, redistribution, repackaging, relabeling, or downstream marketing is a material breach of these Terms and may result in immediate account termination, order cancellation, legal action, injunctive relief, damages, and recovery of legal fees and costs.

1.10 Prohibited Uses of the Site and Products

You may not use the Site, products, communications, account access, or any LuvionBio material for any unlawful, unsafe, deceptive, or prohibited purpose, including:

• Human or animal consumption, administration, application, dosing, injection, ingestion, implantation, compounding, or clinical use.
• Diagnosis, treatment, cure, mitigation, or prevention of disease.
• Any use as or in a drug, biologic, medical device, food, cosmetic, dietary supplement, consumer product, or controlled end-use product.
• Clinical trials, human research, veterinary research, or investigational use unless all required approvals, authorizations, and legal requirements are satisfied and LuvionBio has expressly agreed in writing.
• False, misleading, unlawful, medical, therapeutic, dosing, human-use, animal-use, or prescription-drug advertising or claims.
• Reverse engineering, misuse, diversion, unauthorized resale, gray-market sales, or distribution to unauthorized parties.
• Any purpose that violates applicable local, state, federal, or international law, regulation, institutional requirement, laboratory standard, or safety protocol.

1.11 Compliance With Laws

You are solely responsible for determining and complying with all laws, regulations, permits, licenses, registrations, approvals, institutional policies, laboratory rules, safety standards, import/export restrictions, storage requirements, handling requirements, reporting obligations, and disposal rules applicable to your purchase, possession, transportation, storage, research, and use of any product.

You agree not to purchase or use products in any manner that would violate the Federal Food, Drug, and Cosmetic Act, Public Health Service Act, Controlled Substances Act, Toxic Substances Control Act, Occupational Safety and Health Act, Department of Transportation rules, import/export laws, customs laws, state analog or controlled substance laws, consumer protection laws, or any other applicable law or regulation.

1.12 Communications

By using the Site, creating an account, placing an order, contacting LuvionBio, or opting into communications, you agree that LuvionBio may communicate with you as described in these Terms, the Communications Consent section, the SMS Messaging Terms, and the Privacy Policy. SMS marketing and SMS updates are sent only if you separately opt into SMS messages.

1.13 Changes to the Site and Terms

LuvionBio may modify, suspend, or discontinue any part of the Site, products, communications, pricing, policies, or services at any time. LuvionBio may update these Terms by posting a revised version with a new effective date. Continued use of the Site after updated Terms are posted constitutes acceptance of the updated Terms.

1.14 Survival

Any provisions that by their nature should survive termination will survive, including provisions relating to research-use restrictions, prohibited uses, payment obligations, warranty disclaimers, limitation of liability, indemnification, intellectual property, governing law, dispute resolution, and compliance obligations.

3.1 Transactional and Administrative Communications

By creating an account, placing an order, submitting information, or contacting LuvionBio, you agree that LuvionBio may contact you using the contact information you provide for transactional, administrative, account, support, compliance, order, fulfillment, delivery, policy, security, legal, and service-related purposes.

Transactional and administrative communications may be sent even if you do not opt into marketing communications, where permitted by law.

3.2 Phone Number Collection Does Not Equal SMS Marketing Consent

Providing a phone number for account, support, order, delivery, security, or compliance purposes does not automatically enroll you in SMS marketing or promotional text messages.

SMS marketing and SMS updates are sent only if you separately opt into SMS messages through a LuvionBio SMS opt-in checkbox, signup form, keyword, or other approved opt-in method.

3.3 Email Consent Is Separate From SMS Consent

Email marketing is optional and separate from SMS consent. You may unsubscribe from marketing emails at any time using the unsubscribe link in the email or by contacting us.

SMS consent is separate from email consent, Terms of Service acceptance, account creation, and purchase completion. Consent to receive SMS messages is not a condition of purchase.

3.4 No Medical Advice Through Communications

LuvionBio communications, including SMS, email, website chat, customer support, and account messages, are not medical, diagnostic, therapeutic, dosing, human-use, animal-use, or prescription-drug guidance. LuvionBio may refuse to answer questions that request prohibited guidance and may suspend or terminate accounts associated with such requests.

5.1 What Are Cookies?

Cookies are small text files placed on your device when you visit a website. Cookies and similar technologies may store session information, account preferences, cart status, analytics identifiers, security information, and other technical data.

5.2 Types of Cookies and Similar Technologies We May Use

Essential Cookies: Required for core site operation, including account login, checkout, cart functionality, fraud prevention, security, and session management. Essential cookies cannot be disabled through our Site tools without affecting functionality.

Analytics Cookies: Used to understand how visitors interact with the Site, measure performance, identify technical issues, and improve functionality. Analytics information may include pages viewed, session duration, browser type, device type, referring source, and approximate location derived from IP address.

Marketing and Advertising Cookies: Used to measure campaign performance, support retargeting, improve advertising relevance, and understand user interaction with marketing content. Tools may include advertising platforms, email platforms, and analytics providers.

Functionality Cookies: Used to remember preferences such as region, display settings, or prior actions on the Site.

5.3 SMS Data and Advertising Tools

We do not intentionally disclose SMS opt-in data, SMS consent status, mobile numbers collected for SMS, or SMS message records to advertising platforms for their own promotional or marketing purposes.

5.4 Your Choices

You may manage cookies through your browser settings, including blocking cookies, deleting stored cookies, blocking third-party cookies, or setting notifications when cookies are placed. Disabling cookies may impair login, checkout, account, cart, security, and other Site functionality.

5.5 Third-Party Cookies

Third-party platforms may place or read cookies or similar technologies through the Site. LuvionBio does not control all third-party cookies. You should review the applicable third-party privacy and cookie policies for additional information.

6.1 Shipping Methods

LuvionBio may ship through USPS, FedEx, UPS, or other carriers selected by LuvionBio. Available options and rates are presented at checkout based on shipping address, product type, order details, carrier availability, and compliance review.

6.2 Shipping Regions and Restrictions

LuvionBio currently ships to addresses within the United States only, unless expressly stated otherwise in writing. LuvionBio may refuse shipment to P.O. Boxes, APO/FPO addresses, mail forwarding services, freight forwarders, hotels, temporary addresses, unsupported jurisdictions, or addresses that present compliance, fraud, carrier, or delivery risk.

LuvionBio may refuse, hold, cancel, or require additional verification for orders shipping to locations where product possession, purchase, receipt, or use may be restricted or unlawful.

6.3 Processing Time

Orders are generally processed within 1–2 business days, excluding weekends and federal holidays, after payment, account approval, inventory confirmation, and compliance review. Processing times are estimates and may be extended during high-volume periods, carrier disruptions, inventory events, compliance holds, weather events, or operational delays.

6.4 Delivery Time

Estimated delivery is generally 1–5 business days after shipment, depending on the shipping method, destination, carrier, and other factors. Carrier delivery estimates are not guaranteed unless expressly stated by the carrier and applicable to the selected service.

6.5 Shipping Costs

Shipping fees are calculated at checkout based on order weight, destination, packaging, carrier, service level, and any applicable handling requirements. Shipping charges are non-refundable except where required by law or expressly approved by LuvionBio.

6.6 Title, Risk of Loss, and Carrier Transfer

To the fullest extent permitted by law, risk of loss passes to the customer when the order is transferred to the carrier. LuvionBio is not responsible for carrier delays, theft after delivery, incorrect addresses entered by the customer, delivery refusals, weather delays, or other events outside LuvionBio’s control.

6.7 Lost, Damaged, Delayed, or Misdelivered Shipments

If a package appears lost, delayed, damaged, compromised, or misdelivered, contact compliance@LuvionBio.com within 72 hours of delivery or expected delivery and include your order number, tracking number, photographs if applicable, and any carrier documentation. Claims submitted outside this window may be denied.

LuvionBio may, in its discretion, assist with carrier claims or offer a replacement, store credit, refund, or other resolution for verified shipping issues. LuvionBio is not obligated to provide a replacement or refund for carrier events outside its control unless required by law.

6.8 Undeliverable, Refused, or Returned Packages

If a package is returned as undeliverable, refused, abandoned, unclaimed, or shipped to an incorrect address provided by the customer, the customer is responsible for any applicable original shipping, return shipping, re-shipping, carrier, handling, and administrative costs. LuvionBio may cancel the order, issue store credit, reship at the customer’s expense, or take other action in its discretion.

6.9 Temperature, Storage, and Transit Conditions

Unless expressly stated in writing, LuvionBio does not guarantee that products will remain within a particular temperature range during transit. Customers are responsible for promptly retrieving delivered packages and storing products according to any applicable documentation or appropriate research-laboratory standards.

7.1 All Sales Final — No Physical Returns

Due to the sensitive, specialized, and research-use-only nature of LuvionBio products, all sales are final. LuvionBio does not accept physical returns of products under any circumstances unless expressly required by law or expressly authorized in writing by LuvionBio.

This policy exists to maintain product integrity, chain-of-custody standards, contamination control, compliance controls, and the safety of all parties involved in handling research-use-only materials.

7.2 Quality Issue Review

If a product arrives in a condition that materially differs from the condition described at the time of purchase, including verified damage, visible defect, incorrect item, or shipping compromise, LuvionBio may review the issue on a case-by-case basis within 30 days from the delivery date.

Verified quality concerns may be resolved through replacement, store credit, partial refund, full refund, or another remedy selected by LuvionBio in its sole discretion. LuvionBio may require photographs, videos, lot information, packaging documentation, carrier documentation, or other evidence before approving any resolution.

7.3 How to Report an Issue

Contact compliance@LuvionBio.com within 72 hours of delivery and include:

• Your order number.
• A clear description of the issue.
• Photographs of the product, packaging, label, shipping container, and any visible damage.
• Any relevant carrier documentation or tracking information.

Claims submitted outside the 72-hour reporting window may be denied.

7.4 Non-Qualifying Issues

LuvionBio generally does not provide refunds, replacements, or credits for buyer’s remorse, incorrect customer information, ordering errors, refusal of delivery, improper storage after delivery, customer misuse, product handling after delivery, failure to review product documentation, carrier delays outside LuvionBio’s control, or any request connected to prohibited human-use, animal-use, medical, dosing, or therapeutic purposes.

7.5 Disposal of Research Materials

All purchasers are solely responsible for safe and lawful storage, handling, and disposal of research materials in accordance with applicable local, state, federal, institutional, laboratory, and safety requirements. LuvionBio is not liable for improper handling, storage, disposal, contamination, exposure, or misuse of any product.

9.1 Purchase Acknowledgment

By completing a purchase from LuvionBio, you acknowledge, represent, warrant, and agree that:

• You have read, understood, and agreed to these Terms and all posted policies.
• All products are purchased solely for lawful research-use-only purposes.
• Products will not be used for, administered to, consumed by, or applied to humans or animals in any form.
• You have sufficient knowledge, facilities, procedures, and safety controls to lawfully handle, store, transport, research, and dispose of the products.
• You are solely responsible for compliance with all applicable laws, regulations, institutional requirements, and safety standards.

9.2 Assumption of Risk

You acknowledge that research-use-only materials may be hazardous and that misuse, improper handling, improper storage, unauthorized administration, exposure, or unlawful use may result in serious physical harm, property damage, legal liability, regulatory consequences, or other losses. You voluntarily assume all risks associated with the purchase, possession, handling, storage, transportation, research, use, disposal, and misuse of any product.

9.3 Release

To the fullest extent permitted by applicable law, you release LuvionBio LLC and its owners, members, managers, officers, directors, employees, contractors, agents, representatives, suppliers, service providers, successors, and assigns from any and all claims, liabilities, damages, injuries, losses, expenses, or demands arising from or related to your purchase, possession, handling, storage, transportation, research, use, disposal, or misuse of any product, including any prohibited human or animal use.

9.4 Checkout Agreement

By checking any acknowledgment box at registration, account approval, checkout, or purchase, you confirm that you have read, understood, and agreed to this Purchase Waiver & Assumption of Risk and all applicable Terms and policies.

10.1 As-Is Sale

To the fullest extent permitted by law, the Site, products, materials, content, documentation, testing information, and communications are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

10.2 Disclaimer of Implied Warranties

LuvionBio disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, uninterrupted operation, suitability, sterility, safety, regulatory approval, or compliance with any specific customer requirement.

10.3 No Sterility, GMP, Pharmaceutical, Clinical, or Injectable Representation

Unless expressly stated in a signed writing by LuvionBio, products are not sterile, not endotoxin-free, not GMP-grade, not pharmaceutical-grade, not clinical-grade, not injectable, not ingestible, not suitable for human or animal use, and not approved for any medical, diagnostic, therapeutic, dietary supplement, food, cosmetic, veterinary, or consumer use.

10.4 Product Documentation

Certificates of analysis, testing reports, lot information, labels, storage information, and other documentation are provided for research-use-only informational purposes. Such documentation does not create any warranty beyond any express written specification specifically provided by LuvionBio for the applicable product and lot.

10.5 Customer Evaluation

You are solely responsible for evaluating product suitability, hazards, storage, handling, research methods, safety protocols, lawful use, and disposal. LuvionBio makes no representation that any product will achieve any particular research result or be suitable for any particular application.

11.1 Exclusion of Certain Damages

To the fullest extent permitted by law, LuvionBio LLC and its owners, members, managers, officers, directors, employees, contractors, agents, representatives, suppliers, service providers, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, enhanced, or punitive damages; loss of profits; loss of revenue; loss of data; loss of goodwill; business interruption; research interruption; procurement of substitute goods; reputational harm; regulatory consequences; personal injury arising from misuse; or other similar losses arising out of or related to the Site, products, communications, orders, documentation, or these Terms, even if advised of the possibility of such damages.

11.2 Liability Cap

To the fullest extent permitted by law, LuvionBio’s total cumulative liability for any claim arising out of or related to the Site, products, communications, orders, documentation, or these Terms shall not exceed the amount you paid to LuvionBio for the specific product or order giving rise to the claim during the three months preceding the event giving rise to liability.

11.3 Essential Basis

The limitations of liability in these Terms are an essential basis of the bargain between you and LuvionBio. They apply regardless of the legal theory asserted, including contract, tort, negligence, strict liability, warranty, statute, or otherwise, except to the extent prohibited by applicable law.

12.1 Customer Indemnity

You agree to indemnify, defend, and hold harmless LuvionBio LLC and its owners, members, managers, officers, directors, employees, contractors, agents, representatives, suppliers, service providers, successors, and assigns from and against any and all claims, demands, actions, investigations, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or related to:

• Your access to or use of the Site.
• Your purchase, possession, handling, storage, transportation, research, use, disposal, or misuse of products.
• Any prohibited human-use, animal-use, medical, therapeutic, dosing, diagnostic, clinical, dietary supplement, food, cosmetic, recreational, consumer, or unlawful use.
• Your breach of these Terms or any posted policy.
• Your violation of applicable law, regulation, institutional policy, laboratory standard, safety requirement, or third-party right.
• Your false, inaccurate, incomplete, or misleading information, representation, warranty, certification, or acknowledgment.
• Your resale, redistribution, relabeling, repackaging, marketing, or downstream transfer of any product.
• Any claim by a third party arising from your conduct, your account, your order, or your products.

12.2 Defense Control

LuvionBio reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with LuvionBio’s defense of such claims and not to settle any matter without LuvionBio’s prior written consent if the settlement imposes any obligation, admission, liability, or restriction on LuvionBio.

12.3 Survival

Your indemnification obligations survive account termination, order completion, product delivery, policy updates, and termination of these Terms.

13.1 Ownership

All content on the Site, including text, images, graphics, logos, icons, trademarks, service marks, trade names, product names, catalog content, product descriptions, page layout, design, data compilations, software elements, and other materials, is owned by LuvionBio or its licensors and is protected by U.S. and international intellectual property laws.

13.2 Limited License

Subject to your compliance with these Terms, LuvionBio grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful research-use-only purchasing and account purposes. No rights are granted except as expressly stated.

13.3 Restrictions

You may not copy, reproduce, distribute, modify, display, perform, scrape, crawl, frame, mirror, reverse engineer, create derivative works from, or commercially exploit any Site content without LuvionBio’s express prior written consent. You may not use LuvionBio names, logos, marks, product names, or content in any manner that suggests endorsement, affiliation, resale authorization, medical claims, therapeutic claims, or product approval.

13.4 Feedback

If you submit feedback, suggestions, ideas, reviews, or comments to LuvionBio, you grant LuvionBio a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, publish, and incorporate such feedback for any lawful business purpose without compensation to you.

14.1 Compliance Review

LuvionBio may review accounts, orders, communications, shipping information, payment information, compliance acknowledgments, public information, fraud signals, and other relevant information to assess eligibility, compliance risk, misuse risk, shipping risk, payment risk, or legal risk.

14.2 Right to Refuse Service

LuvionBio may refuse, hold, cancel, limit, suspend, or terminate any account, order, shipment, product access, communication, or customer relationship at any time if LuvionBio believes, in its sole discretion, that:

• The customer may misuse products or violate research-use-only restrictions.
• The customer provided false, incomplete, inaccurate, or misleading information.
• The order or account presents compliance, fraud, payment, carrier, shipping, reputational, legal, safety, or regulatory risk.
• The customer requested medical advice, therapeutic advice, dosing guidance, administration guidance, human-use guidance, animal-use guidance, or prescription-drug claims.
• The customer is reselling, redistributing, relabeling, repackaging, or marketing products without authorization.
• The customer violated these Terms, applicable law, institutional requirements, laboratory standards, or third-party rights.

14.3 Reporting and Cooperation

LuvionBio may cooperate with carriers, payment processors, service providers, law enforcement, regulators, courts, and other appropriate parties when necessary to protect LuvionBio, enforce these Terms, prevent misuse, investigate suspected violations, comply with legal obligations, or respond to lawful requests.

14.4 Export, Sanctions, and Restricted Parties

You may not purchase, receive, transfer, export, re-export, or use products in violation of U.S. export control laws, sanctions laws, restricted-party rules, embargoes, customs laws, or applicable international trade requirements. You represent that you are not located in, ordinarily resident in, acting on behalf of, or owned or controlled by any person or entity subject to applicable sanctions or restricted-party prohibitions.

14.5 No Waiver

LuvionBio’s failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision in the future.

15.1 Informal Resolution

Before filing any legal claim, you agree to contact LuvionBio at compliance@LuvionBio.com and provide a written description of the dispute, the requested relief, your contact information, and any supporting documentation. The parties agree to attempt in good faith to resolve the dispute informally for at least 30 days.

15.2 Governing Law

These Terms and any dispute arising out of or related to the Site, products, communications, orders, or these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent federal law preempts Delaware law.

15.3 Binding Arbitration

Except for claims that may be brought in small claims court and claims for injunctive or equitable relief, any dispute, claim, or controversy arising out of or related to the Site, products, communications, orders, or these Terms shall be resolved by binding arbitration under the Federal Arbitration Act and the rules of a mutually agreed arbitration provider. If the parties cannot agree on an arbitration provider, the arbitration provider shall be selected by a court of competent jurisdiction.

15.4 Class Action Waiver

To the fullest extent permitted by law, you and LuvionBio agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding.

15.5 Venue for Non-Arbitrable Claims

Any non-arbitrable claim or proceeding shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.

15.6 Injunctive Relief

LuvionBio may seek temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, business operations, customer safety, compliance program, product integrity, or rights under these Terms.

15.7 Time Limit to Bring Claims

To the fullest extent permitted by law, any claim arising out of or related to the Site, products, communications, orders, or these Terms must be brought within one year after the claim accrues, or it is permanently barred.
